Terms of Service

These Terms of Service (these "Terms") are a binding agreement between you and the operator of VaultLedger ("we", "us", or "VaultLedger"). By creating an account, signing in, redeeming a license key, or otherwise using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.

1. The Service

The Service provides account management, license issuance and verification, and device-session management for the VaultLedger desktop application, plus the public marketing website. The Service is currently operated as a closed beta: access is by invitation, and features, availability, and eligibility may change at any time.

2. Eligibility

You must be at least 13 years old (or older where required by the law of your jurisdiction to consent to these Terms and to our processing of your data) to create an account. By creating an account you represent that you meet this requirement.

3. Accounts and security

• Provide accurate information when creating an account and keep it current.
• You are responsible for safeguarding your sign-in credentials and for all activity that occurs under your account.
• Notify us promptly at the contact address below if you believe your account has been compromised.
• We may suspend or terminate accounts that violate these Terms, abuse the Service, or pose a security risk — with or without notice during the closed beta.

4. License keys and the beta program

• Beta licenses are issued at our sole discretion (currently via a role in the project Discord) and are personal to you.
• You may not sell, rent, share, or transfer a license key or beta access, or help anyone bypass the license gate or the per-license device cap.
• Beta licenses are revocable at any time, for any reason, with or without notice. The closed-beta program itself may be paused or ended at any time.
• A license entitles you to use the desktop application under the EULA on a limited number of devices; you can manage your active devices in the account portal.

5. Acceptable use

You agree not to:

1. Use the Service to violate any law or the rights of any third party.
2. Probe, scan, or test the vulnerability of the Service, or breach or circumvent any authentication or security measure, except as authorized by us in writing.
3. Access the Service by automated means (scraping, bulk requests) or interfere with its normal operation.
4. Reverse engineer or attempt to derive the source code of the Service, except to the extent such a restriction is prohibited by applicable law.
5. Misrepresent your identity or affiliation, or impersonate another person.
6. Resell or commercially exploit the Service or access to it.

6. Intellectual property

The Service, the VaultLedger name, logo, website content, and software are our property and are protected by intellectual-property laws. These Terms do not grant you any rights other than the limited right to use the Service as described here. Feedback you submit (bug reports, suggestions, ideas) may be used by us without restriction or obligation to you.

7. Third-party services

Signing in with Discord or Google is subject to those providers' own terms and privacy policies. The beta community is hosted on Discord, and downloads are hosted on GitHub; your use of those platforms is governed by their respective terms.

8. Termination

You may stop using the Service and request account deletion at any time (see the Privacy Policy for how). We may suspend or terminate your access as described in Sections 3 and 4. Upon termination, your right to use the Service ends; Sections 6 and 9–12 survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THIS IS A PRE-RELEASE, CLOSED-BETA SERVICE AND MAY CHANGE OR BREAK WITHOUT NOTICE. NOTHING IN VAULTLEDGER IS FINANCIAL, TAX, OR ACCOUNTING ADVICE; FIGURES THE APP COMPUTES ARE FOR YOUR OWN INFORMATION AND YOU ARE RESPONSIBLE FOR VERIFYING THEM.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED TWENTY US DOLLARS (USD $20). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

11. Indemnification

You will indemnify and hold us harmless from any claim, demand, or expense (including reasonable attorneys' fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which the operator of VaultLedger resides, without regard to conflict-of-laws principles. Disputes are resolved in the courts of that jurisdiction.

13. Changes to these Terms

We may revise these Terms as the Service evolves. Material changes will be announced in the beta Discord and reflected on this page with a new effective date. Continued use of the Service after revised Terms take effect constitutes acceptance.

14. Miscellaneous

• Entire agreement. These Terms, the Privacy Policy, and (for the desktop application) the EULA are the entire agreement between you and us regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver. Failure to enforce any provision is not a waiver.
• Assignment. You may not assign these Terms; we may.
